1. Agreement to Terms

By accessing or using the Decker.Play platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the platform, including restaurant owners ("Venue Partners"), advertisers, and visitors.

2. Description of Service

Decker.Play is a two-sided marketplace that connects restaurants with brands through in-venue digital advertising. The Service includes:

• A media player device ("TV Box") that connects to restaurant TV screens
• A content management system for displaying menus, promotions, and other restaurant content
• Programmatic advertising delivery through third-party advertising infrastructure
• Revenue sharing for ad impressions displayed on venue screens
• A dashboard for tracking impressions, revenue, and screen performance

3. Venue Partner Terms

Registration & Eligibility

To become a Venue Partner, you must:

• Be at least 18 years old
• Be the owner or authorized representative of the restaurant or venue
• Provide accurate and complete registration information
• Have the legal right to display content and advertising on the screens in your venue

TV Box Device

• The TV Box device is sold to Venue Partners at the listed price at the time of purchase
• The device remains the property of the Venue Partner after purchase
• Decker is not responsible for damage to the device caused by misuse, power surges, or environmental factors
• The device requires a stable internet connection to function properly

Content & Advertising

• Venue Partners may control the ratio of advertising content to their own content through the platform dashboard
• Venue Partners may block specific advertising categories through the brand safety controls provided
• Decker reserves the right to approve or reject any venue for participation in the advertising network
• Advertising content is provided by third-party advertisers — Decker does not create or endorse the content of advertisements

4. Revenue Share

Payment Terms

• Venue Partners receive 65% of net advertising revenue generated by their screens
• Net revenue is calculated after deduction of third-party platform fees (SSP fees)
• Payments are made monthly, typically within 30 days of the end of each calendar month
• A minimum balance threshold may apply before payment is issued
• Venue Partners are responsible for providing accurate payment information

Revenue Calculation

Revenue is calculated based on verified ad impressions as reported by our advertising partners. Decker uses industry-standard proof-of-play verification to confirm that advertisements were displayed correctly. Revenue per impression varies based on advertiser demand, time of day, venue location, and other targeting factors.

5. No Contract & Cancellation

Decker.Play operates on a month-to-month basis with no long-term commitments:

• There is no minimum contract term — you may cancel at any time
• There are no cancellation fees
• There are no monthly subscription fees — Decker earns only through its share of advertising revenue
• Upon cancellation, any outstanding revenue earned will be paid in the next regular payment cycle
• The TV Box device remains your property after cancellation

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to manipulate ad impressions, clicks, or revenue through artificial means
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract source code from the TV Box device or platform
• Resell, redistribute, or sublicense access to the Service without written permission
• Display content that is illegal, harmful, threatening, abusive, or otherwise objectionable on screens connected to the Service

7. Intellectual Property

The Decker.Play platform, including its software, design, branding, and content (excluding user-provided content and third-party advertisements), is the property of Decker and is protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Service as intended.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Decker does not guarantee:

• Specific revenue amounts or advertising fill rates
• Uninterrupted or error-free operation of the Service
• The accuracy, reliability, or completeness of any information provided through the Service

Revenue estimates provided on our website or by our team are projections based on market data and are not guarantees of actual earnings.

9. Limitation of Liability

To the maximum extent permitted by law, Decker shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the total revenue share payments made to you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Decker and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Los Angeles County, California.
